This is project finance, where a group of people lend money to a company rather than a single person. Such an investment allows each financier to invest a smaller amount of money without being tied to the total amount of the loan needed by the borrowing company. The reduction in the minimum investment amount creates the opportunity to participate in projects that were previously only available to large investors. It also makes it easier for investors to diversify their investment portfolio.

Röntgen is a crowdfunding platform supervised and licensed by the Bank of Lithuania, allowing ordinary people to invest in loans for real estate development with a pledge of liquid real estate for the benefit of investors.

Investing on the platform is available to registered and identified individuals and legal entities.

Yes, a company (legal entity) can invest.

To make an investment on behalf of a company, after registration and successful identification of the company's representative enter the company's details in the questionnaire. The user in whose name the account is opened and the investment is made must also be an authorised representative of the company who can initiate such transactions.

The minimum investment amount is only 100 EUR.

Trečia diena UAB (Röntgen) is included in the public list of crowdfunding platform operators administered by the Bank of Lithuania, and the platform's activities are strictly controlled by the Bank of Lithuania.

Röntgen's business continuity plan has been agreed with the Bank of Lithuania. The Business Continuity Plan ensures that investors will not be disadvantaged even if Röntgen decides to cease its operations.

Röntgen offers a unique opportunity for small investors to invest in real estate projects that have long been available only to professional investors. The main reasons to choose Röntgen:

  • Investments placed on the platform are secured by an initial mortgage on the real estate for the benefit of investors. In the event of insolvency of the project owner, foreclosure will be carried out through forced sale of the real estate;
  • The platform allows investors to invest as little as €100, allowing them to participate in projects that were previously only available to professionals;
  • The platform always provides detailed presentations of investment projects;
  • All investment projects are carefully evaluated by the Röntgen team. Many of the projects we evaluate do not even reach our investors because they often do not meet our risk management requirements;
  • Professional institutional investors (traditional banks, funds and asset managers) invest alongside small investors;
  • The investor never needs to be personally involved in the debt recovery process, Röntgen represents the investor at all stages of the recovery process and keeps the investor informed;
  • In order to mitigate potential risks, Röntgen investors can always diversify their investment portfolio by allocating funds to different real estate and aviation projects.

Röntgen does not charge any fees for investors to use the platform.

Lithuanian residents who invest as Individuals earn interest that is classified as Class B income. Thus, investors must self-declare this income and pay a 15% Personal Income Tax (PIT). Röntgen will provide the State Tax Inspectorate (STI) with all the required data on investors’ interest earned during the calendar year.

For Lithuanian residents, Personal Income Tax is applied only on the amount of interest received during the tax period which exceeds € 500. Consequently, when the total return on investment received during the tax period exceeds € 500, only the amount exceeding € 500 is taxed at the rate of 15%.

Interest paid to foreign residents (registered residence outside Lithuania) is classified as Class A income, so Personal Income Tax (PIT) must be withheld before the interest is paid and remitted to the State Tax Inspectorate (STI). This means that you will be paid interest on which 15% of the PIT has already been deducted, and you will not need to make an additional declaration of this income in Lithuania. You will only have to declare the income and pay the tax in accordance with the procedure in your country of residence.

The EU Crowdfunding Regulation requires that all licensed crowdfunding operators across the EU meet the same requirements. This ensures greater protection for small investors.

If you are not a professional investor, you will be considered an inexperienced investor on the Röntgen platform under the EU Crowdfunding Regulation. Such investors are subject to a four-day consideration period during which you can withdraw your investment.

You can be recognised as a professional investor if you have the necessary qualifications and/or experience with investments, which would allow your investments to be credited immediately, without waiting for the four-day consideration period to pass. This calculator is a mandatory tool on the platform, which you can but are not obliged to use. The calculator allows you to see what your losses would look like if you lost 10% of the difference between your annual income and expenses.

  • Investments placed on the platform are secured by the initial pledge of real estate (mortgage) in favour of investors. The initial pledge always gives investors priority to compensation after the sale of recovered property;
  • Before projects are presented to investors, Röntgen performs a risk assessment procedure. Exclusive attention is paid to the client’s financial situation, the present value of the property, development plan, developer's experience and reputation, asset liquidity, etc. A lot of projects we value do not even reach our investors because they often do not meet our risk management requirements. Statistically, only 1 out of 20 investment projects enter the platform;
  • In the event of loan default, the platform has recovery procedures in place where the collateral provided to investors would be sold, and the proceeds from the sale would be used to repay the loan to the investors and pay the interest;
  • Röntgen carries out project search, selection, and supervision until the repayment of the investment. We ensure that the investor would be only minimally involved, and in case of necessity, all required information would be easily accessible.
  • In order to mitigate potential risks, Röntgen investors can always diversify their investment portfolio by allocating funds to different real estate and aviation projects.

Your investment return on the Röntgen platform depends on the size of your investment and the annual interest rate applied. Before investment projects are published on the platform, the Röntgen team conducts a rigorous risk assessment for each project, which is then assigned a rating from A+, A, A- to D-. A+ means the lowest risk, D- means the highest risk.

It is important to note that all Röntgen investments (both A+ and D-) are secured by a first mortgage on the real estate, which guarantees full or partial recovery in the event of the insolvency of the project owner. The risk rating does not reflect the risk of losing the entire investment, but rather the risk that the project may encounter difficulties or delays, i.e. that the repayment of the loan will be later than planned.

The investor never has to be personally involved in the debt recovery process, as Röntgen represents the investors at all stages of the recovery process and keeps them informed.

Because all Röntgen investments are secured by a primary pledge of assets. The collateral is always 30-40% more valuable than the loan, ensuring full or at least partial recovery in the event of the project owner's insolvency, making a total loss of the investment difficult to achieve. However, investing always entails the risk of losing part of the investment or facing a default on the loan.

Until the money is transferred to the project owner, it is held in a restricted e-money account in the project owner's name. These funds cannot be used either by the project owner or by the platform operator. Once the obligations have been fulfilled, they shall be transferred to a bank account managed by the project owner according to an agreed schedule.

If the required amount is not collected within the timeframe, all investments will be returned within a few working days to the investors' accounts from which the payments were made.

Payments are made according to a pre-agreed schedule. In most cases, payments will coincide with interim property appraisals and checks on construction estimates during the course of the project. Once it is confirmed that the project is appreciating in value and that the money previously committed has been used for property development, the next disbursement is made.

Before projects are submitted to investors, Röntgen carries out an analysis that evaluates the business plan submitted by the project owner, an independent valuation of the property and information from other sources. Considerable attention is paid to the current value of the property, the development plan, the experience of the project owner, the liquidity of the property, etc. This procedure, like the Röntgen project risk score, is a project overview and should not be seen as an investment recommendation. All Röntgen investments are secured by a first charge on the property, which ensures full or partial recovery of the funds in the event of the project owner becoming insolvent, so the risk of losing your entire investment is very limited. However, investing always entails the risk of losing part of the investment or facing loan repayment delays.

Usually, investors will get back their funds from the sale or lease of a completed project or by refinancing the finished project at the bank.

We are in contact with the borrower throughout the project, so potential repayment difficulties are identified well before the loan is due. If we notice that the project owner is experiencing difficulties, we take action and work with them to find the best solution for all parties.

Actions are taken depending on the circumstances:

  1. Extension of the loan term. We do this when we see that the project has only encountered temporary difficulties (e.g. sales are progressing but slower than planned) and the loan will be repaid. In this case, investors are granted an interest bonus for the delay period;
  2. Legal proceedings to recover the debt are initiated by means of seizures, debt collection companies, courts or bailiffs.

If necessary, Röntgen’s investors have an opportunity to sell their active investments on the secondary market. At the moment, secondary market sales work on the following principle - after receiving your request by e-mail [email protected], we communicate with existing investors and try to find a potential buyer. After finding a buyer we coordinate the final sale transaction. However, we can never guarantee that we will actually sell the investment.

We would like to draw your attention to the fact that how quickly we will be able to sell your investments largely depends on your expectations. We can only share the observation that when watching both local and international platforms, selling investments for the same value is quite difficult. So, if you're considering reselling, consider applying a discount to your investment. Most often, investors sacrifice one or more interest payments.

We also want to inform you that we have been implementing and testing the functionality of the secondary market for some time and we hope to be able to present it to the investors of the platform in the near future. The secondary market will work without our involvement in the process, so if you are not in a hurry to sell your investment, you may be able to get better sales terms.

All investments on the platform are made directly between the project owner and investors. The platform is only a technical tool enabling to carry out transactions, therefore, all contracts would continue to be valid as scheduled

The consideration period applies to investors with no experience. This means that within four calendar days, inexperienced investors can change their mind and withdraw their investment. The four calendar days on the Röntgen platform start from the generation of the investment contract.

You can withdraw your investment within four calendar days of the investment contract being generated. Click on the "cancel" button next to your investment and all money will be returned to the account from which you made the investment.

The minimum investment amount is only 100 EUR.

If you invest using the Bank-link service, your payment will be credited immediately.

If you make an investment by simple bank transfer, your payment may take up to 2 working days to clear. In this case, you will be added to the list of investors after the payment has been credited. In the event of a situation where the project becomes fully funded between the transfer and the offsetting of the payment, your money will be returned to the account from which you made the payment, and the contract entered into at the time of the payment will be cancelled.

Factors such as developer experience, project location, financial performance, business plan, market trends, etc. are taken into account when calculating Röntgen's investment rating. The rating rules are agreed with the Bank of Lithuania, which supervises crowdfunding platforms.

It is important to note that all Röntgen investments (all from A + to D-) are guaranteed by the initial pledge of assets, which guarantees a partial or full investment recovery if the project owner would become insolvent.

Due to the standardised processes of banks and their increased interest in larger projects, developers of small and medium-sized real estate projects are given a lower priority and project appraisals take longer or are dropped altogether. Therefore, crowdfunding platforms such as Röntgen are an excellent source of alternative financing that can offer flexibility to project owners.

  1. To be eligible for funding, the project owner must complete this application and submit the documentation required for the project and developer assessment;
  2. The project owner applies for funding. The platform operator evaluates the project. Only selected projects are presented to investors;
  3. Investors invest the desired amount in a project after familiarising themselves with the project and the investment agreement;
  4. Once the full or minimum investment amount has been collected and all contractual obligations have been met, the money is paid to the project owner according to the terms of the contract;
  5. The investment and interest are paid back to investors according to a pre-agreed schedule.

Only companies (legal entities) that can guarantee a loan repayment by a pledge of assets can be financed on the Röntgen platform. Financing can be used to finance real estate development, refinancing of completed assets, or other activities of the company.

Once all the necessary documents have been received, project appraisal can take up to several weeks. Once the project is approved and uploaded to the platform, it can take from a day to a couple of weeks to collect the investment.

Yes, it is possible. In the case of early repayment, the project owner must pay the investors the early repayment fee specified in the loan agreement.

Yes, the financing of the equity part is possible through the provision of a second charge on assets or other collateral.
